Terms of Sale

1. Seller and acceptance

These Terms of Sale govern all paid orders placed on the Etsnipe service: subscriptions and additional credit purchases.

By validating an order, the user expressly accepts these Terms of Sale as well as the Terms of Use and the Privacy Policy. The user declares having the legal capacity to enter into this contract.

2. Products and services offered

The publisher offers two categories of paid products:

  • Subscriptions: recurring monthly or annual access plans giving access to the service and a periodic credit allowance, the conditions of which are set out on the pricing page.
  • Credit packs: one-off purchases of credits in addition to the subscription, intended to supplement the credit balance.

The detailed characteristics of the offers (price, included credits, applicable limits) are presented on the pricing page of the service and confirmed in the email confirming the order.

3. Pricing and invoicing

The prices indicated on the service are stated in euros and correspond to the price payable at the time of the order.

3.1 Price changes

The publisher reserves the right to change its prices at any time. Any price change applicable to subscriptions in progress will be notified to the user by email at least thirty (30) days before its effective date. The user will then be free to terminate the subscription before entry into force, with no penalty.

Credits already purchased and credits already granted under a subscription are not affected by a subsequent price change.

3.2 VAT and invoices

As a micro-enterprise, the publisher is not subject to VAT (article 293 B of the French General Tax Code). The mention "TVA non applicable, art. 293 B du CGI" therefore appears on invoices.

An electronic invoice is automatically issued for each order and available to the user from their account. The user undertakes to verify the accuracy of the billing information they provide.

4. Order and formation of the contract

The user places their order through the service, selects the offer of their choice, enters their payment details and validates by clicking on the "subscribe" or "pay" button.

The order is final upon receipt of payment confirmation by the publisher. The contract is then concluded between the user and the publisher.

Order confirmation is sent by email to the address provided by the user.

5. Payment terms

Payment is made online, at the time of the order, exclusively by credit card or by another payment method offered at checkout. The payment is processed by Stripe Payments Europe Ltd., a payment service provider certified PCI DSS Level 1.

No banking data is collected or stored by the publisher; they are processed exclusively by Stripe, which sets out their use in its own privacy policy.

In the event of refusal of payment by the banking establishment, the order will be considered not placed.

6. Subscription and automatic renewal

Subscriptions are subscribed for a fixed initial period (monthly or annual depending on the offer chosen) and are automatically renewed for successive periods of the same duration, until cancellation by the user.

The user can cancel their subscription at any time from the "My account" section of the service or by contacting support. The cancellation takes effect at the end of the current paid period: the user retains access to the service until that date and no further automatic renewal is performed.

No partial refund is granted for the current period unless otherwise stated in article 9 (statutory warranties).

In accordance with article L.215-1 of the French Consumer Code, the user is informed by the publisher, by email, at the latest one (1) month and at the earliest three (3) months before the term of the period authorising rejection of renewal, of the possibility of not renewing the contract.

7. Delivery of credits

Credits are automatically credited to the user's account within a maximum of a few minutes after payment confirmation. In the event of an abnormal delay (more than fifteen (15) minutes), the user is invited to contact support.

For subscriptions, periodic credits (monthly or annual) are credited on the day the subscription starts and then on the same day of each subsequent period.

8. Right of withdrawal

In accordance with article L.221-28, 1° and 13° of the French Consumer Code, the fourteen (14) day right of withdrawal cannot be exercised for:

  • The supply of digital content not provided on a material medium, when performance has begun, after the consumer's prior express consent and express waiver of their right of withdrawal.
  • Services fully performed before the end of the withdrawal period and whose performance began after the consumer's express prior consent and express waiver of their right of withdrawal.

By validating the purchase of an Etsnipe subscription or credit pack, the user expressly requests immediate performance of the service and expressly waives their right of withdrawal once the credits are delivered or the subscription is activated. Clicking the payment button, after reading these Terms of Sale, constitutes acceptance of this waiver.

9. Statutory warranties

The publisher undertakes to deliver the credits and to keep the service operational in accordance with its description.

In the event of an interruption of service for more than seventy-two (72) consecutive hours attributable to the publisher, the user may request, by contacting support, either a refund of the unused credits, or compensation in the form of additional credits, or an extension of the subscription for an equivalent duration.

The legal guarantee of conformity (articles L.217-3 et seq. of the French Consumer Code) and the warranty against hidden defects (articles 1641 et seq. of the French Civil Code) apply in addition to the contractual provisions hereof, for users having the status of consumer.

The publisher cannot be held liable for malfunctions related to third-party services that the user uses in connection with Etsnipe (Etsy, payment provider, internet network of the user, etc.).

10. Suspension for non-payment

In the event of failure of an automatic payment (insufficient funds, rejected card, etc.), the publisher will attempt the payment again over a period of seven (7) days. After this period, in the absence of regularisation by the user, access to paid features will be suspended.

The user may regularise their situation at any time by updating their means of payment. After thirty (30) days without regularisation, the subscription may be definitively terminated by the publisher.

11. Promotions and discount codes

Discount codes, promotional offers and free trial periods are offered occasionally and at the discretion of the publisher. They are subject to specific conditions of validity (duration, eligibility, single use, etc.) communicated at the time of the offer.

Discount codes cannot be combined with each other unless expressly stated. The publisher reserves the right to cancel or modify a promotion at any time, without retroactive effect on orders already validated.

12. Claims and customer support

Any claim relating to an order, a payment or the operation of the service must be sent to the publisher by email at contact@etsnipe.app. The publisher undertakes to acknowledge receipt within five (5) working days and to provide a response within thirty (30) days from receipt.

13. Consumer mediation

In accordance with articles L.611-1 et seq. of the French Consumer Code, the consumer may, in the event of a persistent dispute with the publisher and after a written claim that has remained without satisfactory response within two (2) months, use a consumer mediator free of charge. The competent mediator will be communicated to the user upon request, or may be approached via the relevant consumer protection authorities.

The European Commission also provides an online dispute resolution platform accessible to consumers in the European Union at ec.europa.eu/consumers/odr.

14. Archiving and proof

In accordance with article 1369-7 of the French Civil Code, electronic communications, transactions and invoices exchanged between the user and the publisher are archived for a period of ten (10) years and constitute proof of the contractual relationship.

15. Governing law and jurisdiction

These Terms of Sale are governed by French law. In the event of a dispute, an amicable solution will be sought as a priority via the customer support.

Failing an agreement, and unless otherwise provided by public policy (in particular consumer law), the courts having jurisdiction within the jurisdiction of Paris shall have exclusive jurisdiction.
